Form for Report on Name of Members and Scope of Performance of the Audit Committee
As the meeting of the Board of Director Meeting of Major Cineplex Group Public Company Limited ('The Company'), No. 1/2008, held on February 26, 2008, have resoluted to appoint Audit Committee which effective from February 26, 2008 as follows:
1. Names of members of the Audit Committee are as follow

2. The Audit Committee of the Compa y has the scope of duties and responsibilities, and shall report to the boar of directors on
1. Re-examine so that the Company financial report is co rect and sufficiently disclosed.
2. Review so that the Company has a proper effective internal control and audit systems.
3. Review to ensure that the Company operations are legal in accordance with se urities and securities market regulations or relevant laws.
4. Consider select and propose the appointment of Company auditor and his/h r remuneration.
5. Consider to permit the disclosure of the Company correct information in case a transaction is relevant to or conflictin with the Company benefits.
6. Arrange an activity report of the Audit Committee by rev aling it i the Company Annual Report signed by the Chairman of the Board of Audit Committee.
7. To perform other duties as assigned by the Board of Directors and approved by the Audit Committee.
