Subject : Notification of the joint investment with PVR Limited
Major Cineplex Group Public Company Limited ('the Company') would like to inform that we will have a joint investment with PVR Limited which is incorporated and listed in Stock Exchange of India, having registered office at 61, Basant Lok,Vasant Vihar, New Delhi, by setting up a new joint venture for the purpose of operating bowling business in India. The capital of the new joint venture is approximately 90,000,000 INR. For the investment structure of the new joint venture,PVR Limited will invest in the proportion of 51% and the Company will invest in the proportion of 49% (or approximately Baht 38,600,000)* of the total capital of the new joint venture. Resulting from this transaction, the new joint venture will become a new associate of the Company. It is expected that this investment will occur within the second quarter of year 2008. The Company will inform the progress of the establishment of the new joint venture accordingly.
This investment above fall under 'the acquisition and disposal of assets' of which the total transaction value is less than 15% of Net Tangible Asset (NTA), and the characteristic of transaction is not the connected transaction by Notification of the Stock Exchange of Thailand.
