Enclosure: 1. Letter of explanation seeking for a shareholders'resolution to waive the mandatory tender offer for the acquisition of all securities in the business (Form 247-7)
2. Independent Financial Advisor Report presented to shareholders of Traffic Corner Holdings Public Company Limited

We, Major Cineplex Group Public Company Limited and Mr. Suchin Satitpattanapan expect to acquire newly issued common shares of Traffic Corner Holdings Public Company Limited (the Company) from the rights offering by the Company. As a result of this share acquisition, we will eventually hold 51%-59% of the Company's paid-up capital and thus will be required to prepare a mandatory tender offer for acquisition of all securities of the Company in accordance with the Notification of the Securities and Exchange Commission No. Kor.Jor. 53/2545 Re: Rules, Conditions and Procedures for Acquisition of Securities for Business Takeover dated 18 November 2002 (the Notification). However, the Notification allows that the mandatory tender offer may be waived if the approval is granted by the Securities and Exchange Commission and the Company's shareholders' meeting. Therefore, we have prepared the letter seeking for a shareholders' resolution to waive the mandatory tender offer for the acquisition of all of its securities (Form 247-7), as detailed in the attachment.

The Company's Extraordinary General Meeting of the Shareholders No. 1/2551 will be held on January 7, 2008 to consider approving the capital increase and the allocation of newly issued common shares. The Notice of that Extraordinary General Meeting of the Shareholders will be posted on the Company's website at http://www.majorcineplex.com from 21 December 2007 onwards.
