Subject : Report on the utilization of capital increase

Attention : Managing Director The Stock Exchange of Thailand

Major Cineplex Group Public Company Limited (The Company) has the resolution of the 2/2003 Ordinary Shareholder Meeting, held on April 22, 2003 regarding the issuance and offering of warrants to directors and employees of the company (ESOP-W1) purchase ordinary shares 19,500,000 units and resolution of the 1/2003 Extraordinary Shareholder Meeting, held on December 18, 2003 regarding issuance and offering of warrants to the existing shareholder (MAJOR-W1) to purchase ordinary shares 146,926,992 units, which the company has received capital from exercised warrant between January 1, 2007 to June 30, 2007 as detail follows:

1. Baht 971,214,610.96 derived from the final exercised right of warrants to purchase ordinary shares, which the company has offered to existing shareholder (MAJOR-W1) on February 2, 2007.

2. Baht 13,666,832.00 derived from the eighth exercised right on warrants to purchase ordinary shares, which the company has allotted to the directors and employees of the company (ESOP-W1) on March 30, 2007.

The amount totaling Baht 984,881,442.96

The proceeds was reserved for the company's working capital. The usage of fund from capital increase is in line with the objective earlier disclosed by the company to the Stock Exchange of Thailand.
